Three things that catch sellers setting up from outside the country they are selling into.
“An LLC means no US tax filing”
It does not. A foreign-owned single-member LLC has an annual federal filing obligation of its own, and the penalty for missing it starts at five figures — regardless of whether the company traded or made a penny. It is the single most common and most expensive misunderstanding we see.
Registering in the wrong state or country
Delaware sounds impressive and costs more than most sellers need. California charges a substantial minimum franchise tax every year whether you trade or not, and New York requires paid newspaper publication that can run into four figures. Formation state is a cost decision, not a prestige one.
Assuming a VAT threshold applies to you
The UK threshold does not apply to businesses established outside the UK — those register from the first sale. Sellers holding stock in a UK warehouse frequently discover this after they should already have been registered, and the correction is not cheap.

Common questions
Are government fees included in your price?
No, and deliberately so. Our fee is what we charge for doing the work, and official fees are passed through at cost with the receipt. They vary by state, jurisdiction and class, and three of the offices we deal with changed their fees within the last eighteen months — bundling them would mean either padding our price or repricing constantly. You will always see both figures before you commit.
Which US state should I form in?
Usually Wyoming or New Mexico for a straightforward seller LLC — low formation cost, low or no annual cost, no local presence required. Delaware earns its premium mainly if you intend to raise institutional investment. We would steer you away from California, where an $800 minimum franchise tax applies every year regardless of profit, and New York, where mandatory newspaper publication can add four figures in some counties.
Can I get an EIN without a social security number?
Yes. This is the most persistent myth in the seller community. A responsible party without an SSN or ITIN simply declares that on the application, and the EIN is issued. The online route is not available to you, so it goes by fax or phone instead, which takes longer but works. An ITIN is a separate thing entirely and you probably do not need one.
Do I really need UK identity verification?
If you are a director or a person with significant control of a UK company, yes — it became mandatory in late 2025. Non-UK residents generally verify through an authorised UK service provider rather than the free government route, because the document checks are easier that way. Each person gets a personal code which then has to be linked to their role, and that linking step is the part people forget.
Can a non-resident open a UK business bank account?
Not realistically with a high-street bank — they generally want a UK-resident director and an in-branch appointment. What does work is an e-money account with UK account details, and marketplaces accept those for payouts. We will be straight with you that these are e-money accounts rather than banks, with different protections, so you can decide knowingly rather than discover it later.
When do I have to register for VAT?
Sooner than most sellers expect. If your business is established outside the UK and you make taxable supplies there, you register from the first sale — the threshold that applies to UK businesses does not apply to you. Holding stock in a UK warehouse is usually what triggers it. In the EU, storing stock in a country generally requires a local registration in that country as well as any OSS scheme.
What about US sales tax — do the marketplaces not handle it?
Largely, yes. Marketplace facilitator laws mean Amazon, Walmart and eBay collect and remit on marketplace sales for you, which removes most of the burden. It does not cover your own Shopify or direct sales, and some states still want you registered and filing even where the marketplace collects. We review your position before recommending any registration, because registering unnecessarily creates filing obligations you did not need.
